1. Definitions

In these Terms and Conditions, the following definitions apply:

Confidential Information: Business data in various formats, excluding public domain information or disclosures required by court order.
Fees: The payment amounts charged for the Services as published on the website.
Intellectual Property Rights: Copyright, patents, trademarks, designs, and all related protections.
Services: The ManyChat app integrations and related materials offered through the website or by telephone.

2. The Services

Inpresif Media provides Services with reasonable care and skill, aligned with the descriptions published on the Website. We reserve the right to vary or withdraw offerings without prior notice, and make no guarantee regarding specific results from use of the Services.

3. Ordering Services

Account creation is required to purchase and access Services through the website. Telephone orders can be placed by calling +31 70 44 94 738, but account registration is still required to access the Services.

A binding agreement is formed when Inpresif Media sends a confirmation email and receives full payment. Where multiple services are ordered simultaneously, each is treated as a separate offer and may be accepted independently.

Refund policy: No refunds are given on purchases made during a 'special deals period', 'discounts', or any other form of promotion. Accessing or using the Service after purchase forfeits any cancellation right.

4. Cancellation

You have a 14-day cancellation window from the date the agreement is formed, provided you have not yet accessed or used the Service. Once the Service has been accessed, no cancellation rights apply. Any other variations are solely at the discretion of Inpresif Media.

Subscriptions may be cancelled at any time via the billing portal in your account dashboard. Cancellations take effect at the end of the current billing period.

5. Fees and Payment

Fees are charged at purchase and must be paid before accessing the Services. Published fees exclude VAT and any applicable taxes unless otherwise stated. All payments are processed securely via Stripe. Credit card charges imposed by your financial institution are your responsibility.

6. Limitation of Liability

To the fullest extent permitted by law, Inpresif Media accepts no liability for:

Any inaccuracy or misleading information, or reliance placed thereon
Any loss or corruption of data
Any loss of profit, revenue, or business opportunity
Any indirect, special, or consequential loss

Our total liability for any claim is limited to the fees received for the specific service in dispute. This limitation does not apply to death or personal injury caused by our negligence, or to fraudulent misrepresentation.

All claims must be brought within six months of the service completion date.

7. Intellectual Property

All content, app configurations, and materials produced by Inpresif Media remain our property. You receive a limited, non-transferable, non-exclusive licence to use the Services for their intended purpose only. You may not copy, reproduce, record, broadcast, distribute, modify, or reverse-engineer any part of the Services without our prior written permission. Violations may result in immediate termination of your account.

8. Fair Use Policy

App usage exceeding 100,000 server requests per month per license triggers an account review. Accounts found to exceed this threshold may be subject to additional usage fees or service throttling.

9. Confidentiality

Both parties agree to maintain strict confidentiality regarding the other's information and to return it upon demand. Disclosure to legal advisors is permitted. This obligation survives termination of these Terms.

10. Termination

Inpresif Media may immediately terminate your account for:

Non-payment of fees
Aggressive, threatening, or harassing conduct toward staff
Fraud, deception, or misrepresentation
Any material breach of these Terms

Clauses 6 (Liability), 7 (Intellectual Property), 8 (Fair Use), and 9 (Confidentiality) survive termination.

11. Assignment

The Services are personal and non-transferable. Inpresif Media may assign, transfer, or sub-contract its obligations to third parties at its discretion without prior notice to you.

12. Entire Agreement

These Terms, together with the website disclaimer and any service-specific terms, constitute the entire agreement between us and supersede all prior arrangements. Liability for fraudulent misrepresentation is not limited by this clause.

13. Force Majeure

Inpresif Media is not liable for delays or failures caused by circumstances beyond our reasonable control, including but not limited to natural disasters, terrorism, industrial disputes, transport failures, or government action.

14. Data Protection

We collect and process personal data in accordance with our Privacy Policy and applicable Dutch and EU data protection law (GDPR). By using the Services, you consent to this processing.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of the Netherlands. Any disputes shall be subject to the exclusive jurisdiction of the Dutch courts.
